1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and ScoutingWave Inc. (“ScoutingWave,” “we,” “us,” or “our”). By accessing or using the ScoutingWave platform at scoutingwave.com or our mobile application (the “Service”), you agree to be bound by these Terms and our Privacy Policy (scoutingwave.com/privacy).
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. You must be at least 13 years old to use the Service. If you do not agree to these Terms, do not use the Service.
2. Description of Service
ScoutingWave is a global sports recruiting platform that enables athletes to build recruiting profiles, upload game film and highlight clips, and receive AI-powered performance analysis. The Service allows verified scouts, coaches, and sports organizations to discover athletes, review their profiles and film, take scouting notes, and communicate directly with athletes and their families through our messaging system.
We offer free and paid subscription tiers. Certain features, including AI film analysis, advanced analytics, and enhanced messaging, are available only on paid plans. Features and pricing may change over time with appropriate notice.
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate, complete, and current information during registration and keep your account information updated.
- Maintain only one account per person. Creating multiple accounts to circumvent suspensions or access restrictions is prohibited.
- Keep your login credentials confidential. You are responsible for all activity that occurs under your account.
- Notify us immediately at legal@scoutingwave.com if you suspect unauthorized access to your account.
We reserve the right to refuse registration or terminate accounts at our discretion, including for violation of these Terms.
4. Eligibility and Age
You must be at least 13 years old to create an account or use the Service. By creating an account, you represent that you meet this minimum age requirement.
Users between the ages of 13 and 17 (“Minors”) may use the Service only with the knowledge and consent of a parent or legal guardian. By allowing a Minor to use the Service, a parent or guardian agrees to these Terms on the Minor’s behalf and accepts responsibility for the Minor’s use of the Service.
We comply with the Children’s Online Privacy Protection Act (COPPA) and the GDPR provisions applicable to children. If we become aware that a user is under 13, we will immediately delete their account and all associated data. See our Privacy Policy for additional details.
5. User Content
The Service allows you to upload, post, and share content including videos, photographs, biographical information, statistics, and other materials (“User Content”). You retain all ownership rights in your User Content.
By uploading or submitting User Content to the Service, you grant ScoutingWave a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, reproduce, modify (for technical purposes such as compression and format conversion), and transmit your User Content solely as necessary to provide and improve the Service. This license terminates when you delete your User Content or your account, subject to our data retention policy.
You represent and warrant that: (a) you own or have obtained all necessary rights, licenses, and consents to upload and share the User Content; (b) the User Content does not infringe any third-party intellectual property rights, privacy rights, or other rights; and (c) you have the consent of any individuals who appear in your uploaded film if required by applicable law.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Upload, post, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
- Impersonate any person, organization, or entity, or falsely claim an affiliation with any person or organization.
- Send unsolicited commercial messages (spam) to other users through our messaging system.
- Scrape, crawl, or otherwise automatically extract data from the Service without our prior written consent.
- Attempt to bypass, disable, or circumvent any security measures, access controls, or technical restrictions of the Service.
- Upload content you do not own or have rights to, including film footage in which you do not appear or for which you do not have necessary rights.
- Use the Service to collect personal information about other users without their consent.
- Engage in any conduct that restricts or inhibits any other user’s use and enjoyment of the Service.
Violation of these acceptable use provisions may result in immediate suspension or termination of your account.
7. Scout and Coach Accounts
Scouts, coaches, and organization representatives (“Recruiting Accounts”) are subject to the following additional requirements:
- You must accurately represent your professional affiliation. Claims of employment, title, or association with any sports program, club, college, or professional organization must be truthful and current.
- A “Verified Scout/Coach” or “EU Verified” badge on your profile indicates that your credentials have passed our manual verification process. You must apply for verification through the platform and provide supporting documentation when requested.
- Misrepresentation of credentials, affiliation, or identity will result in immediate account termination and may be reported to relevant sports governing bodies or law enforcement where appropriate.
- Recruiting Accounts must not use the platform to make offers of employment, scholarship, or compensation that are outside the rules of applicable sports governing bodies (e.g., NCAA, NAIA, NFHS).
8. Subscriptions and Billing
ScoutingWave offers subscription plans for athletes (Free, Pro, Elite) and for scouts and organizations (Free, Pro, Max). Paid subscriptions are billed on a monthly or annual basis through Stripe, our payment processor.
- Billing: By subscribing to a paid plan, you authorize ScoutingWave to charge your payment method on file through Stripe at the applicable plan rate, at the start of each billing period.
- Refunds: If you are not satisfied with your subscription, you may request a full refund within 7 days of your first charge for that subscription by contacting legal@scoutingwave.com. After the 7-day period, subscription fees are non-refundable except as required by applicable law.
- Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation stops future billing; your access to paid features continues until the end of the current billing period. We do not provide prorated refunds for unused time.
- Price Changes: We may change subscription prices at any time with at least 30 days’ advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
- Taxes: Prices shown may not include applicable taxes. You are responsible for any taxes applicable to your subscription under local law.
9. Intellectual Property
The ScoutingWave name, logo, platform design, and all associated trademarks and service marks are the property of ScoutingWave Inc. All AI-generated analysis outputs, scoring methodologies, matchmaking algorithms, and platform-generated content are proprietary to ScoutingWave. Nothing in these Terms grants you any right to use our trademarks, logos, or proprietary technology without our express prior written consent.
User Content remains the property of the user who uploaded it, subject to the license granted in Section 5. If you believe content on the Service infringes your intellectual property rights, please contact us at legal@scoutingwave.com with a detailed description of the alleged infringement.
10. Privacy
Your privacy is important to us. Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ScoutingWave does not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We do not guarantee any specific recruiting outcomes, scout or coach contact, scholarship offers, or other results from your use of the platform. Recruiting success depends on many factors outside our control, including your athletic ability, academic performance, and the decisions of independent scouts, coaches, and organizations.
AI analysis outputs are generated by machine learning models and should be used as informational tools only. They do not constitute professional coaching or scouting assessments.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCOUTINGWAVE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.
IN NO EVENT SHALL SCOUTINGWAVE’S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNTS YOU HAVE PAID TO SCOUTINGWAVE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD $100) IF YOU HAVE NOT MADE ANY PAYMENTS.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the fullest extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless ScoutingWave Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your User Content; (c) your violation of any third-party rights, including intellectual property rights or privacy rights; or (d) your violation of applicable law.
14. Termination
Either party may terminate the account relationship at any time.
- Termination by You: You may delete your account at any time through your account settings. Upon deletion, we will process your data in accordance with our Privacy Policy and data retention schedule.
- Termination by ScoutingWave: We may suspend or terminate your account immediately, without prior notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent activity, or if your account poses a security risk to the platform or other users.
Upon termination, your right to access the Service ceases. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and indemnification) will survive.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (other than claims for injunctive or equitable relief related to intellectual property, or claims that can be brought in small claims court) shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in Delaware or, at your election, remotely. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: You agree that any arbitration or proceeding will be conducted only in your individual capacity, and not as a class action or other representative proceeding. You waive the right to participate in a class action lawsuit or class-wide arbitration.
If you are an EU consumer, nothing in this section affects your right to bring claims before the courts of your country of residence or to use applicable EU consumer protection mechanisms.
16. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes—those that significantly affect your rights or obligations—we will provide at least 30 days’ advance notice by email to the address associated with your account.
Non-material changes may be made at any time and will be reflected in the “Last updated” date at the top of this page. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
